To their best understanding, this document includes the full scope of responsibilities that each party expects the other to perform to complete this project. THE CONTACT US PAGE WILL CONTAIN A FORM ALLOWING WEBSITE VISITORS TO SEND A MESSAGE TO CLIENT.] All text and photographs will be provided by, and at the expense of, CLIENT in consultation with DESIGN FIRM. Panda Tip: It is important to clarify the expectations of what the resulting website will contain, with as much specificity of number of pages, content, and where content will come from, as possible. This is not to curb creativity, but rather to formalize expectations. The website will be hosted on [HOSTING] at CLIENT’s expense. The domain name(s) that will be connected to this website are the following: [URLS]. CLIENT has already registered, or will register, these domain names at CLIENT’s expense. The design process will consist of four phases: Concept Development, Design, Technical, and Testing. In the Concept Development phase, DESIGN FIRM will begin work by outlining the basic flow of the website and gathering the text and images for the website. In the Design phase, DESIGN FIRM will create digital artwork for the outlined webpages and integrate the images and text. In the Technical phase, DESIGN FIRM will enable the website server, domains and add interactive functionality like forms and emails. In the Testing phase, both the DESIGN FIRM and CLIENT will check the entire website to make sure it is operating as expected. This website will work in all ordinary browsers. It will not be designed to operate on mobile devices unless specifically designated. Panda Tip: Designing a website to operate efficiently on mobile devices takes additional work and consideration above and beyond a basic website. Such additional work should be specified and factored into the overall cost of the project. CLIENT and DESIGN FIRM will consult no less frequently than the end of each phase of the design process for CLIENT approvals. After completion of the design and development of the website under this Proposal, any future modifications of content or other maintenance of the website will be the responsibility of the CLIENT unless the parties enter into a separate agreement for those services. Panda Tip: Websites, by their nature, will require continued tweaking or sometimes more extensive updates or work. The parties need to understand what of that work is included under this agreement, and what should fall within a separate website maintenance agreement. RESPONSIBILITIES OF DESIGN FIRM 8. DESIGN FIRM will start work on the project within [DAYS TO START] days of this Web Design Proposal being signed, and will complete the work by [COMPLETION DATE] or according to a timetable set forth below: [TIMETABLE] 9. DESIGN FIRM will keep CLIENT updated on activities and progress at reasonable intervals, and reasonably respond to inquires regarding progress. DESIGN FIRM will allow CLIENT to propose modifications to design and content within the scope of the Website Specifications, or as agreed to in writing by the parties. Panda Tip: Sometimes you may want to add more specificity on when updates are made, depending on the personalities of the people involved. If you promise weekly updates, you might avoid daily phone calls from the client. DESIGN FIRM understands that the CLIENT may share some non-public, sensitive business information to DESIGN FIRM while working on the PROJECT. DESIGN FIRM agrees to keep this information confidential and not disclose it to any outside parties. RESPONSIBILITIES OF CLIENT 11. CLIENT will provide DESIGN FIRM with all necessary access to website hosting, domain name registries, or related service providers for the purposes of completion of its work under this Web Design Proposal. Unless specified otherwise, CLIENT will provide DESIGN FIRM with all text, graphics, photos, designs, logos, trademarks, service marks, artwork or videos for the website at CLIENT’s expense. Panda Tip: These terms are important because they can account for significant cost above and beyond the design and creation of the website. Budgets and pricing need to account for this. CLIENT will provide requested materials and respond to DESIGN FIRM questions in a timely manner. Panda Tip: This term is necessary to ensure that the project moves along at a reasonable pace towards completion. The design firm cannot commit to a completion date and have the client wait until the last minute to provide materials necessary to its completion. CLIENT will pay DESIGN FIRM for its work under this Agreement as follows: a. A flat fee of [DOLLAR AMOUNT], payable as follows: [PAYMENT DUE DATES]; b. On an hourly basis for services provided to CLIENT at a rate of [HOURLY RATE]/hour. DESIGN FIRM will send Invoices to CLIENT on a monthly basis and payments will be due with 10 days of invoicing. After thirty days, such invoice becomes past due and a 3% late fee will be applied on any undue amount. INTELLECTUAL PROPERTY RIGHTS and OWNERSHIP OF WEBSITE 15. Both parties agree on the importance of respecting the intellectual property rights of others, including rights relating to patents, trademarks, service marks, and copyrights. CLIENT guarantees that any elements of text, graphics, photos, designs, logos, trademarks, service marks, artwork, or video that it provides to the DESIGN FIRM for inclusion in the website are either owned by CLIENT, or that CLIENT has permission from the owner to use them on the website. Likewise, DESIGN FIRM guarantees that any elements of text, graphics, photos, designs, logos, trademarks, service marks, artwork, or video that it includes in the website has either been provided by the CLIENT, or is owned by the DESIGN FIRM, or used with permission of the owner for use on the website. Additionally, neither Party shall include within the website any functionality that is protected by a patent to which the Party has no license or permission to use. If either party, either intentionally or inadvertently, violates these guarantees, that party agrees to indemnify (pay for) any resulting damages to the other party based on a claim from the owner, including attorney fees. Panda Tip: There are legal hazards involved in copying text, graphics, photos, and the like from, say, a google search. Copyright infringement liability can attach without any knowledge or intent to improperly use someone else’s materials. This term makes the client think more about what information is included on the site, and protects the design firm from any legal problems that may arise. As to the remainder of the project, intellectual property rights are designated as follows: a. CLIENT owns the intellectual property rights to all text, graphics, photos, designs, logos, trademarks, service marks, or artwork, provided to DESIGN FIRM for purposes of this Web Design Proposal. DESIGN FIRM has a limited, royalty-free, right to use such items for the purposes of completing its obligations under this Proposal, and for purposes of showing potential clients examples of DESIGN FIRM’s work as outlined in paragraph 18. DESIGN FIRM owns the intellectual property rights to all text, graphics, photos, designs, logos, artwork or other visual elements that DESIGN FIRM creates for CLIENT for this project until final payment is made by CLIENT. At that time, ownership shall pass to CLIENT, with DESIGN FIRM retaining a limited, royalty-free, right to use such items for the purposes of completing its obligations under this Proposal, and for purposes of showing potential clients examples of DESIGN FIRM’s work as outlined in paragraph 18. DESIGN FIRM will give CLIENT a copy of all files relevant to this Proposal to be safely stored. DESIGN FIRM is not required to keep them or provide any native source files used in making them. DESIGN FIRM will own the XHTML markup, CSS and other code and license it to CLIENT for use on only this project. DESIGN FIRM reserves the right to display and link to the completed website as part of DESIGN FIRM’s portfolio and to write about the project on websites, in magazine articles and in books about web design. MODIFICATIONS TO WEBSITE DESIGN PROPOSAL 20. The Parties understand that sometimes circumstances change after an agreement is entered into that may affect the scope of work or the cost of performing the agreement. The Parties agree to the following procedures in this event. Any significant modification to the scope of work to be performed by DESIGN FIRM must be agreed to by both parties in writing (email confirmation is acceptable), including any corresponding change in costs to be paid by CLIENT. For example, if CLIENT requests that the Website also be designed for operation on mobile devices, the Parties must agree to add this functionality to the Website Specifications and agree to the additional amount that CLIENT will pay to add this additional work. Panda Tip: Stuff happens, and this terms allows for modifications, but only under a procedure that ensures both sides are agreeing to the modification. GENERAL CONTRACT TERMS 22. The Parties each represent that they are authorized to enter into this Proposal and have had the opportunity to consult with their own attorney(s) in advance of executing this Proposal. The parties are not intending this Website Design Proposal to create a partnership, agency, employer-employee, joint venture, or franchise relationship between DESIGN FIRM and CLIENT. Neither party will incur debts or make any commitments to third parties on behalf of the other. Neither of the parties has permission to assign or delegate any of their responsibilities under this Proposal to anyone else without the prior written agreement of the other party. The Parties acknowledge that they may obtain access to information regarding each others clients, employees or independent contractors during the course of this Web Design Proposal. Both Parties agree that they will not solicit any business from each others clients, hire the employee or independent contractor during the course of this Proposal, nor for one calendar year following termination of this Proposal, unless consented to in writing. In the unlikely event that the Parties later have a dispute about the meaning of this Proposal or whether one or the other failed to meet their responsibilities under this Proposal, the Parties agree to the following: a. The complaining party will provide a written explanation of their dispute to the other party, and the parties will then, within seven (7) days, in good faith discuss the dispute and seek a mutually acceptable resolution. If the dispute has not been resolved within thirty (30) business days after such good faith discussions begin, either party is free to assert its rights in court, if they choose. In the event of such a dispute, the parties agree that this Proposal would be interpreted in accordance with the laws of the State/Province of [STATE] (with the understanding that laws regarding how agreements are interpreted is different from state to state) and that the venue, or location, of any dispute or lawsuit would be in the proper court for the County of [COUNTY] in the State/Province of [STATE]. Panda Tip: It is common for work to be done by a design firm in one state for a client in another state across the country. If a dispute arises and one party files a lawsuit where they are located and the other has defend the case there, the prospect of costs involved could resolve the dispute. Agreeing in advance where any dispute would be resolved is essential. If you are sued in a place where you have not been, see a lawyer immediately; there may be some remedies. If any part of this Proposal is determined by a court to be illegal, invalid, or unenforceable, this Proposal will be still be enforce between the parties as to the remainder of this Proposal. Damages for breach of this Proposal will be limited as follows: to DESIGN FIRM, the total dollar amount of this Proposal; to CLIENT, the reasonable cost of performing any substitute work necessary to complete the project, and attorney fees and costs to the prevailing party in any lawsuit. Panda Tip: If there is a problem, it is easy for the disgruntled party to blame the other for everything bad that happened to them and want to sue the other side for every dime of that perceived damage. This term puts all that back in perspective and limits any potential payment to the other. Neither party will be considered to acquiesce to any breach of this Proposal by the other party unless they say so in writing. The party’s responsibilities in this Proposal are subject to all relevant laws and government regulations. This Web Design Proposal is the entire proposal between the parties. Neither party has any understandings or expectations from the other party that is not stated in this Proposal. The FORM action attribute should specify what program the form should run when a user presses the button. That program then specifies what should happen with the submitted data and ultimately, where the user should be directed to after the program finishes executing. When I tested out your contact form I was directed to. That tells me that your form processor program is trying to access gdform.php which is a form processor that I am familiar with. In your case, it can’t find that file on the server. I believe you are hosted with GoDaddy so that file (gdform.php) should come with your hosting account. After this request period, requests for computer equipment will be evaluated based on urgency or mission criticality. When preparing the request, please be sure to include the following categories of people in the process. Each year needs are overlooked in the allocation process and most often fall into these categories: • Faculty going on sabbatical • Faculty returning from sabbatical • New hires • Open or planned searches, even if no one has been hired • Labs Computer hardware requests are coordinated by each department to ensure that the needs of all its members and programs are addressed and prioritized by the department. Individual requests should be forwarded to the person coordinating the department’s request. Adam Nielsen and his Advanced Services group are available for consultation as you develop your requests and to answer any questions you may have. In addition to Adam’s group, faculty may consult with Jason Parkhill, Director of Academic ITS. • The current hardware inventory is available to those persons making departmental requests on the web at the following link: • If you find errors in the inventory when you access the inventory/request page, please make a note of this in the “Remarks” line available after the piece of hardware in question. If you have any questions about the inventory, please contact Adam Nielsen (, 4217) or Mike Miner (, 4225). • Requests for changes to existing workstations (replacements and upgrades) must be made on the inventory/request web page. You will find instructions on how to use the process on inventory/request web page. • Each time the department request coordinator visits the inventory/request web page, the request information is loaded from the database. Each time the request information is submitted, this information is updated in the database. You can visit repeatedly, each time updating your requests until May 24th. The information in the database at the end of the day on May 24th will be used for the allocation decisions. • Notify Adam Nielsen when you have completed the process. He or one of his staff will contact you to go through the allocation process to make sure your needs are represented and understood. • Preliminary allocation decisions will be made available to department requesters for review and possible minor adjustment. • New stations, as opposed to upgrades or replacements, will be very limited and will require justification. The needs of people newly hired are not included in the limitation in number of “new stations” added during the allocation process. • We do not specify automatic replacement of computer hardware after a certain number of years. If you are concerned your computer won’t meet your needs for the upcoming academic year, make the request and include details if possible about what you need. We review every request and will work with you to make sure your needs are met. • Every person’s needs must be included, even if a search for a candidate is still going on or even if the search has not yet begun. If you do not know what will be needed for a person, request a new station, make your best guess as to what will be needed, and tell us in the comment field what date the position is likely to be filled. We will coordinate with you later in the year. Don’t wait until later to make a request or a computer may not be available for the arrival of the new hire in time. • When a person leaves the College, their allocated computer must be returned to ITS for reallocation. Reallocation within a department may not occur unless approved in this request process. A major reason for doing this is to preserve confidentiality of information on computers allocated to individuals. • Include the needs of those who are returning from sabbatical and other leaves. • Include the needs of faculty members going on sabbatical leave. Continued allocation of computer hardware and software is normally expected for those going on sabbatical leave but not necessarily other kinds of leave, where approval will be required. If a faculty member has special requirements during the sabbatical leave beyond their normal allocation, these should be included in this request process. • Windows computers distributed this year will be Windows 10. Except in departments where support is already in place, Linux is unavailable. • Requests for switching from Windows-to-Mac or Mac-to-Windows must include a list of any specialized software in the remarks box so that ITS can find compatible versions or alternatives. • If major upgrades or a switch to a new operating system (e.g., Macintosh to Windows) are being requested, include a very brief programmatic assessment of the overall impact of the changes being requested. Particular attention should be paid to shared resources within and between departments. • For both Macintosh and Windows upgrades there is no need to specify requirements unless there is something unusual about how the computer is used. Almost all of the new computers purchased by the College this summer will be of one standard desktop and one standard notebook (for both Mac and Windows) with only a few more advanced computers where clearly justified. • For most people, what is required about once every four years is a standard replacement computer (faster, more storage, more memory, more media capabilities, etc.), or a switch to a notebook computer from a desktop computer or vice versa. Simply requesting “Upgrade Needed” on the form indicates replacement with the significantly more capable current model. If there are special requirements, these should be noted and consultation may be needed. • Requests for a notebook computer to replace a desktop model will be closely examined and require a compelling justification. Unfortunately, the cost of a notebook computer appropriately configured for use at Colby is significantly higher than that of a basic desktop computer. • A limited number of used computers will be available for reallocation as replacements for even older computers. Please request a used computer in the remarks box. • A member of the allocation team will contact you asking you to pick three possible days to process your new computer. • We will let you know which of those dates will be your allocation day and will arrange for pick-up or drop-off of your computer equipment. • The allocation process usually takes 24 hours, during which time you will not have access to your computer, please plan accordingly. • During the allocation process you will be given a temporary password that you can use during the 24 hours. After you get your new computer you we will help you reset your password. • Your new computer will come pre-loaded with the standard suite of Colby software (Excel, Word, Firefox, etc). Any can be installed upon request. All other software will need to be self re-installed, if necessary the Support Center can assist. • After the allocation process is complete, a member of the allocation team will contact you to arrange pick-up or drop-off. • ITS will hold on to your old system for 6 months in case you notice any missing data. Operating System Standards Macintosh OS X and Windows 10 are the current College standards. Device Per Employee Colby faculty and staff will be allocated one desktop or laptop computer. Laptop computers will be packaged with of a flat panel display, external keyboard and mouse for ergonomic reasons. Exceptions may be requested by emailing [email protected] with justification. Device Reallocation/Employee Departure Computers acquired with college funds must be returned to ITS when an employee departs. Eligibility for Allocation Funding Computers and other equipment purchased with grant, endowed chair, department or other funds are not eligible for upgrades or replacement through the allocation process without prior approval. It is strongly recommended that the Chief Information Officer be involved in grant proposals to purchase computers to be used extensively by students to determine an appropriate options for future replacement. Requests to include computers previously purchased using non-ITS funding may be submitted with justification which includes extensive direct student use in the academic program. The approval process includes the Academic and Administrative Vice Presidents review of the request and the ITS recommendation.
